Advice on Crafting Nonprofit Bylaws

The Nonprofit Board’s Guide to Bylaws: Creating a Framework for Effective Governance, by D. Benson Tesdahl, is a primer on writing nonprofit bylaws. Mr. Tesdahl, a lawyer in Washington, highlights the decisions that board and staff members should consider when drafting bylaws. He offers advice on determining how many people should serve on a nonprofit board, the duration of their terms, and methods of selecting new members. Mr. Tesdahl also discusses procedures for notifying members about meetings and for voting on amendments to bylaws. The guide includes a sample conflict-of-interest policy for board members and a disk of templates that organizations can use to craft their own bylaws.
